Statement of Work

• THIS STATEMENT OF WORK (“SOW”) is made by and between Okta, Inc. and its Affiliates (collectively, “Okta”), and Toptal (“Vendor”), pursuant to and in accordance with the Master Services Agreement by and between Okta and Vendor effective as of 10/8/18 the “Agreement”), the terms of which are incorporated herein by this reference. The effective date of this SOW is 4/4/23 (the “SOW Effective Date”). Any terms in initial capital letters or all capital letters used as a defined term but not defined in this SOW shall have the meaning set forth in the Agreement.

1. SCOPE OF WORK AND DESCRIPTION OF SERVICES AND DELIVERABLES:

Toptal will be assigned work and assignments on an ad hoc basis. The schedule of work will be a maximum of 8-10 hours per week.

The contractors will be doing one or more of the following:

- Create technical content that will be publicly available on one or more of our channels: Blog, Youtube, Developer Resources, etc.

- Create sample applications that showcase Auth0 usage with different technologies

- Review and prove feedback on existing Sample Code

- Review and provide feedback on technical Content that will be published in our channels

- Help and guide Guest Authors in content creation following the team's processes in the Guest Author Slack Workspace

Deliverables will be pieces of content or samples created and/or reviewed by the contractors.

2. SCHEDULE OF WORK:

Toptal will be assigned work and assignments on an ad hoc basis. The schedule of work will be a maximum of 8-10 hours per week.

3. FEES:

Hourly fees for each contractor will be different and defined by TopTal in agreement with the Okta team.

4. MAXIMUM PAYMENT: Total payments to Vendor under this SOW, including expense reimbursements, shall not exceed $84,000.00 USD.

VENDOR AGREES THAT NO COMPENSATION WILL BE DUE FROM OKTA BEYOND WHAT HAS BEEN EXPRESSLY OUTLINED IN THIS SOW, UNLESS APPROVED IN ADVANCE IN A CHANGE ORDER AUTHORIZATION EXECUTED BY AN AUTHORIZED REPRESENTATIVE OF EACH PARTY.

IN WITNESS WHEREOF, the parties have executed this SOW as of the SOW Effective Date.
